All sales are subject to the standard terms & conditions as set out below:
1. (a)The Company means Net-Tex Industries Ltd., whose registered office is at Priestwood, Harvel, Meopham, Kent, United Kingdom.
i The Buyer means the person contracting with the Company.
ii Goods include pallets and all other equipment associated with the goods and revised by or under the arrangements of the Customer.
2. (a)All sales between the Company and the Buyer are subject to the conditions as modified by any special conditions.
i The Buyer shall not claim to rely upon any representation unless made or confirmed in writing by a Director of the Company.
3. The Company shall have a general lien on all goods under its control for payment of all debts accruing on any account to the Company. If such lien is not satisfied after 7 days written notice has been given to the Buyer by post addressed to his last known address, the goods or any part of them may be sold to defray the lien and all expenses incurred.
4. Prices are subject to alterations without notice. Unless previously agreed in writing the price of goods shall be the list price of such goods in force at the date of invoice. Invoices will be posted on the day of despatch of goods to the purchasers.
5. Payment shall be made thirty days after invoice date, unless previously agreed to be otherwise and this agreement to be made in writing by a Director of the Company.
6. (a)Notwithstanding any statement to the contrary in any invoice or confirmation of sale note or other document from the Company, the Company reserve the right to demand payment of the price at any time.
i The property in the goods sold shall remain vested in the Company (notwithstanding delivery) so long as any monies remain outstanding and unpaid in respect of the goods or under any other contract between the customer and the Company.
ii The risk in the goods (as opposed to the property in the goods) shall nevertheless pass to the customer immediately upon delivery of the goods to the customer and the customer undertakes forthwith upon delivery of the goods to insure the same in full value thereof and to notify the insurer the interest of the Company in the goods.
iii Product will only be accepted for return to the Company and subsequent credit on written confirmation by a Director of the Company, and upon such confirmation a surcharge will be levied at 7.5% of the net value of the product to be returned plus any costs incurred by the Company on uplifting such product.
7. The Buyer must advise the Company and the carrier in writing of loss or shortage of or damage to goods within three days of delivery. The Company shall not be responsible in any way for non-delivery, shortage, partial loss or damage unless the Buyer complies with this condition. Non arrival of goods within 10 days from date of invoice must be notified to the Company immediately so the claim can be made on the carriers.
i All Net-Tex products sold are of the same brand, specification and formulation legally distributed throughout Europe and beyond. However, Net-Tex is not responsible for any specific country's individual legal requirements.
ii The Conditions of any contract with the Buyer shall be wholly governed by the Law of England.
